Bu tez çalışmasında; ABD'de bir mal varlığı değerinin devrini içeren her türlü sözleşmede, 1850'li yıllardan itibaren uygulanmakta olan escrow sözleşmesi Türk Hukuku ile karşılaştırılarak incelenmiştir. Bu kapsamda, öncelikle escrow sözleşmesinin tarihi gelişimi, tanımı, kurucu unsurları, kurulması, hukukî nitelikleri ortaya konulmuş ve benzer hukukî ilişkiler ile bu açılardan karşılaştırması yapılmıştır. Sonrasında escrow sözleşmesinden doğan borçlar ile bu borçlara aykırı davranılmasının sonuçları incelenmiş; escrow sözleşmesinin birlikte uygulanacağı bazı temel ilişkiler ve bu temel hukukî ilişkilerle escrow sözleşmesinin birlikte uygulanmasının göstereceği özellikler ele alınmış; son olarak ise escrow sözleşmesinin ve sözleşmeden doğan borçların sona ermesi incelenmiştir.
In this thesis, the escrow agreement, which has been applied since 1850, has been examined in all agreements that include the transfer of the value in Unites States of America, in comparison to Turkish Law. To the scope of this, first of all escrow agreement's historical development, definition, constituent components, establishment and legal characteristics are revealed and comparison has been made between escrow agreement and similar legal relations in this respect. Later, obligations emerged from the escrow agreements and consequences contravening these obligations is examined; the basic legal relations that are applied with escrow agreements and features of this application is addressed; finally, termination of the contract and obligations arise from the contract has been examined.
